1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (an individual or the organization you represent) and NeatBuild (“we,” “our,” or “us”) governing your access to and use of the NeatBuild platform at neatbuild.app.

By creating an account, clicking “Accept,” or otherwise accessing NeatBuild, you agree to these Terms. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity. If you do not agree, do not use our service.

2. Description of Service

NeatBuild is a cloud-based construction project management platform that helps home builders and contractors track expenses (receipts and vendor bills), manage projects and budgets, process bank draw packages, generate financial reports, and manage vendor relationships. Features may change as we improve the product.

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Accounts

Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the accuracy of your account information.

Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@neatbuild.app if you suspect unauthorized access to your account.

Team Accounts

If you invite team members to your NeatBuild account, you are responsible for their use of the service. Each invited user is also bound by these Terms.

4. Acceptable Use

You agree not to:

• Use NeatBuild for any unlawful purpose or in violation of any applicable law
• Upload malicious code, viruses, or any software designed to damage or interfere with the service
• Attempt to gain unauthorized access to other accounts, systems, or networks
• Reverse engineer, decompile, or attempt to extract the source code of NeatBuild
• Resell, sublicense, or provide access to NeatBuild to third parties without our written permission
• Use automated means to scrape, crawl, or extract data from the platform
• Submit false financial data or fraudulent documents
• Impersonate any person or entity

We may suspend or terminate accounts that violate these rules without prior notice.

5. Subscription and Payment

NeatBuild may offer free and paid subscription tiers. Paid plans are subject to the pricing displayed at the time of purchase.

• Subscriptions renew automatically unless cancelled before the renewal date
• We may change prices with at least 30 days’ notice to existing subscribers
• Refunds are provided at our discretion; contact support@neatbuild.app within 14 days of a charge to request a review
• Failure to pay may result in downgrade to a free tier or account suspension

6. Your Data and Content

You retain all ownership rights to the data, documents, and content you upload or create in NeatBuild (“Your Content”). By using the service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to operate NeatBuild on your behalf.

You are responsible for ensuring that Your Content does not violate any third-party rights or applicable laws. We do not review uploaded content for compliance and are not liable for any content you submit.

We do not sell, rent, or share Your Content with third parties except as described in our Privacy Policy.

7. AI-Assisted Features

NeatBuild uses third-party AI services (Google Gemini, Anthropic Claude) to extract data from uploaded documents. AI-extracted data (vendor names, amounts, dates) may be inaccurate. You are responsible for reviewing and correcting all AI-suggested data before saving it. We are not liable for financial errors resulting from inaccurate OCR output.

8. Intellectual Property

NeatBuild, its logo, software, design, and all content we create are owned by NeatBuild and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks or branding.

Feedback or suggestions you provide may be used by us without obligation to you.

9. Disclaimer of Warranties

NeatBuild is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We make no warranty regarding the accuracy of AI-extracted data, report calculations, or any financial information displayed.

Use of NeatBuild for regulatory filings, tax compliance, or legal documentation is at your own risk. We recommend consulting qualified professionals for accounting, tax, and legal matters.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NeatBuild and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the service.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) $100 USD.

11. Indemnification

You agree to defend, indemnify, and hold harmless NeatBuild from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, Your Content, or your violation of these Terms or applicable law.

12. Termination

You may cancel your account at any time via the Settings page or by contacting us. We may suspend or terminate your access at any time for violation of these Terms or at our discretion with reasonable notice.

Upon termination, your right to use the service ceases immediately. Data export options are available in the Reports section; you should export your data before cancellation. We will delete your data per our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before the effective date. Your continued use of NeatBuild after the effective date constitutes acceptance of the updated Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NeatBuild regarding the service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• No Waiver: Failure to enforce any provision of these Terms is not a waiver of our rights.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
